Ever wondered how businesses initiate transactions without diving into full legal obligations?

That’s where the Letter of Intent (LOI) comes in—a strategic roadmap that lets you explore deal terms with flexibility and clarity while protecting your interests. And for this occasion, we prepared a Free Letter of Intent Template for you. You can find the download link here.

What exactly is an LOI?

Think of a Letter of Intent like a first date for business transactions. It’s not a marriage proposal, but it is also more serious than swiping someone’s picture to the right on your favorite dating app. The LOI sets clear expectations for:

  • the potential transaction
  • timelines for due diligence
  • ground rules for further negotiations, such as that both parties shall exclusively negotiate during a certain time window and that information shared will be kept secret.

### Scenario: Company Acquisition

Imagine that your business wants to purchase another business. Great right!? Well, instead of immediately jumping into a complex purchase agreement, you might want to consider using a non-binding Letter of Intent LOI to define the potential transaction and negotiate exclusively for a set period—say 60 days.

In this period both businesses will exclusively do due diligence and negotiate with each other with the intent of  entering into a definite transaction. This prevents competition from entering the race. Or put differently, you are exclusively dating but are not in an official relationship.

Speaking of relationships, this brings back old memories as that’s how it started out with my girlfriend, now financée. Sometimes saying the word out loud can be scary, in the beginning at least. Don’t want to express your strong commitment to the relationship at this point but also don’t want to lose the person? Well, consider an exclusivity period!

When to Use a Letter of Intent?

LOIs are perfect for:

  • Mergers and acquisitions
  • Real estate transactions
  • Joint ventures
  • Vendor or supplier negotiations
  • Real life relationships 😉

Tips for Drafting a Letter of Intent

  1. Be Specific: Detailed terms lead to smoother negotiations.
  2. Set Clear Timelines: Define exclusivity and due diligence periods.
  3. Protect Your Interests: Ensure confidentiality clauses limit risks.

Is a Letter of Intent Binding?

Not always. Most LOIs are non-binding, but some clauses—like exclusivity and confidentiality—can be enforceable. Always consult legal counsel, as interpretations vary across jurisdictions and depend on context (of course!). We can help you with this!

The Bottom Line

A Letter of Intent is more than just a document – it’s a strategic tool that allows businesses to explore potential transactions. Whether you’re drafting a basic LOI template or customizing it for unique transactions, this document ensures clarity, protection, and flexibility.
